2. Acceptance of Terms

By using this website or engaging our Services, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and accept these Terms in full. If you are acting on behalf of a company, you confirm you have authority to bind that company.

3. Service Description

We provide AI integration services for businesses, including: (i) a Readiness Assessment reviewing data and tooling compatibility; (ii) a Module Integration building and delivering an AI-to-system connection; and (iii) a Monitoring & Care Service providing ongoing maintenance and reporting.

Services are delivered primarily to clients based in Thailand, though we may accept engagements from clients in other jurisdictions at our discretion. Service scope, pricing, and timeline are confirmed in writing before work begins.

5. Intellectual Property

Upon receipt of full payment, ownership of Deliverables produced specifically for your engagement transfers to you. Pre-existing code, frameworks, or tools we used in the build remain our property; you receive a non-exclusive licence to use them as part of the Deliverable.

Content on this website — including text, design, and structure — remains the property of Pranee Data Co., Ltd. and may not be reproduced without written permission.

6. Payment Terms

All prices are quoted and invoiced in Thai Baht (฿). Current published prices are: Readiness Assessment ฿4,600; Module Integration ฿10,400; Monitoring & Care Service ฿17,200 per month. Payment is due within 14 days of invoice unless otherwise agreed in writing.

For the Monitoring & Care Service, the monthly fee is due at the start of each month of service. Non-payment within 30 days may result in suspension of the service.

Refunds: The Readiness Assessment is non-refundable once the findings report has been delivered. For Module Integration, fees paid for completed work stages are non-refundable; fees for stages not yet begun may be refunded at our discretion. Monthly care service fees are non-refundable for months already in progress.

7. Service Delivery Terms

Any scope changes after work has begun must be agreed in writing before additional work proceeds. We will provide a written description of the change and any associated cost before starting.

8. Confidentiality

Both parties agree to keep confidential any non-public information received from the other in the course of an engagement. This obligation survives termination of any service agreement for a period of two years. It does not apply to information that is publicly available or disclosed to us by a third party without restriction.

9. Disclaimers

Services are provided on the basis of the information and access you supply. We do not guarantee specific technical outcomes from AI integrations, as performance depends in part on third-party AI service providers beyond our control.

This website and its content are provided for informational purposes. We are not liable for decisions made on the basis of content published here without engaging our Services.

10. Limitation of Liability

To the maximum extent permitted by Thai law, our total liability to you in connection with any engagement shall not exceed the total fees paid by you to us in the three months preceding the relevant claim.

We are not liable for indirect, consequential, or incidental losses arising from our Services or from your use of any Deliverables, including but not limited to loss of data, lost profit, or business interruption. Force majeure events — including acts of government, natural events, or failures of third-party AI services — are excluded from liability.

11. Indemnification

You agree to indemnify and hold harmless Pranee Data Co., Ltd. and its team members from any claims, damages, or costs (including legal fees) arising from: your breach of these Terms; your use of Deliverables in a manner not agreed; or inaccurate information provided to us during an engagement.

12. Termination

Either party may terminate an ongoing service engagement with 30 days' written notice. We may terminate immediately if you breach these Terms in a material way and do not remedy the breach within 10 business days of written notice.

On termination: you will receive Deliverables completed and paid for to that point; any outstanding fees become due immediately; confidentiality and IP provisions survive.

13. Dispute Resolution

These Terms are governed by the laws of Thailand. In the event of a dispute, the parties agree to first attempt resolution through direct discussion. If unresolved within 30 days, disputes shall be submitted to the jurisdiction of the courts of Bangkok, Thailand.

For disputes below ฿100,000, the parties may agree to non-binding mediation before pursuing court proceedings.

15. Changes to These Terms

We may revise these Terms at any time. The updated version will be published on this page with a revised "Last Updated" date. For active service engagements, material changes will be communicated by email at least 14 days before they take effect. Continued use of the website or service after the effective date constitutes acceptance.
